                  Inchcape plc - Director's Interest in Shares



On 22 September 2006, Halifax EES Trustees International Limited, as trustee of
the Inchcape Employee Trust (the 'Trust') transferred 51,030 Ordinary Shares of
25p each in the Company to an individual exercising an option granted under the
Inchcape 1999 Share Option Plan.



As potential beneficiaries under the Trust, each executive director of the
Company, being Andre Lacroix and Barbara Richmond, is treated as being
interested in all shares held by the Trust.
