                  Inchcape plc - Director's Interest in Shares


On 31 May 2006, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') acquired a total of 138,955 Ordinary Shares of 25p
each in Inchcape plc (the 'Company') at a price of 443p, all of which are to be
used to satisfy Awards granted under the Inchcape Deferred Bonus Plan.



As potential beneficiaries under the Trust, each executive director of the
Company, being Andre Lacroix, Graeme Potts and Barbara Richmond, is treated as
being interested in all shares held by the Trust.
