                  Inchcape plc - Director's Interest in Shares


On 12 October 2005, Mourant & Co. Trustees Limited, as trustee of the Inchcape
Employee Trust (the 'Trust') transferred 656 Ordinary Shares of 150p each in the
Company to an individual exercising options granted under the Inchcape 1999
Share Option Plan.


As potential beneficiaries under the Trust, each executive director of the
Company, being Peter Johnson, Andre Lacroix and Graeme Potts, is treated as
being interested in all shares held by the Trust.
