Inchcape plc - Directors' Interests in Shares
On 4 October 2004, Mourant and Co. Trustees Limited, as trustee of the Inchcape
Employee Trust, (the 'Trust') acquired a total of 46,655 Ordinary Shares of 150p
each in Inchcape plc (the 'Company') at a price of 1590p per share, all of which
are to be used to satisfy Awards granted under The Inchcape Deferred Bonus Plan.
As potential beneficiaries under the Trust, each executive director of the
Company is treated as being interested in all of these shares acquired by the
Trust.
The directors of the Company who may be considered to be potential beneficiaries
of the shares detailed in this notification are:

Graeme Potts
