Return of Headquarters to the UK
Scheme of Arrangement Becomes Effective and Admission of New Informa Shares
Further to Informa's announcement on 29 May 2014, Informa and New Informa announce that the Scheme of Arrangement (the "Scheme") has become effective and that New Informa is now the new holding company of the Informa Group.
Under the Scheme, Informa Shareholders received one New Informa Share for every Informa Share held by them at the Scheme Record Time. Therefore the total issued ordinary share capital of New Informa is 603,941,249 New Informa Shares of 435 pence each.
New Informa also confirms that the listing of the existing Informa Shares on the premium segment of the Official List was cancelled and the existing Informa Shares ceased to be admitted to trading on the London Stock Exchange's main market for listed securities with effect from 8.00 a.m. today.
The New Informa Shares were admitted to the premium segment of the Official List and to trading on the London Stock Exchange's main market for listed securities at 8.00 a.m. today.
The new ISIN number for New Informa Shares is: GB00BMJ6DW54. New Informa will have the same ticker symbol as Informa, which will therefore remain as "INF".
New Informa Shares held in uncertificated form were credited to the relevant CREST accounts on or prior to 8.00 a.m. today. Share certificates in respect of New Informa Shares held in certificated form are expected to be despatched shortly after the New Informa Reduction of Capital becomes effective (and dealings in certificated New Informa Shares before that date will be certified against the register of members).
The next English Court hearing, to be held on 4 June 2014, will be to confirm the New Informa Reduction of Capital. The New Informa Reduction of Capital is expected to become effective on 5 June 2014.
