Intec Telecom Systems PLC ('Intec' or 'the Company') to complete acquisition
of i2i, one of Asia-Pacific's leading telecoms inter-carrier billing companies
London, 8 February 2001- Intec Telecom Systems PLC (LSE: ITL) a world leader
in telecoms Operational Support Systems ('OSS'), today announces that, further
to its announcement on 7 November 2000, it expects to complete the acquisition
of Inception to Implementation (M) Sdn. Bhd. ('i2i'), a private Malaysian
based inter-carrier billing company on 14 February 2001. The only conditions
precedent that remain outstanding are the applications for admission of the
New Ordinary Shares to the Official List of the UK Listing Authority and to
trading on the London Stock Exchange's markets for listed securities
('Admission').
The consideration will comprise US$12.5 million (approximately £8.57 million)
in cash, to be satisfied out of existing reserves, and the issue of 1,983,274
new Ordinary Shares in the capital of Intec credited as fully paid ('New
Ordinary Shares'). Applications for Admission have been made and it is
expected that Admission will occur, and that dealings will commence on 14
February 2001. The New Ordinary Shares will rank pari passu with the existing
Ordinary Shares.
All key managers have agreed to lock-in conditions similar to those of Intec's
directors and senior management agreed at the time of Intec's IPO in June 2000
and at the time of the acquisition of Computer Generation, Inc. announced in
November 2000. A further US$7.5 million of Intec shares may be issued by way
of deferred consideration over the next two years, based on specific criteria
related to winning of existing i2i business prospects.
