Acquisition of ICL's telecoms mediation and billing product business
Intec customer base grows by 33 to over 270
ICL and Intec enter into worldwide partnering agreement
28 January 2002: London. Intec Telecom Systems plc (ITL.L), a major global
supplier of telecoms Operational Support Systems ('OSS'), announced today that
it has agreed to acquire the OSS product business of ICL, a Fujitsu company.
Intec and ICL will also enter into a worldwide partnering agreement, with ICL
offering Intec's mediation and billing software to telecoms customers. ICL will
now focus on systems integration and consulting services in the telecoms sector.
The initial consideration for the acquisition is £2.85 million in cash, and in
addition deferred cash consideration with a value up to £0.9 million may be
payable, calculated by reference to support contract revenues over the next 24
months. Intec had current cash resources amounting to some £15 million at 31
December 2001. Intec expects that the acquired customer contracts and other
opportunities will make a positive contribution in current and future years.
Intec will provide support for the ICL products under current contracts, with a
defined migration strategy to Intec's next-generation software.
The agreement is for the transfer of ICL's mediation product business, SIMS,
and interconnect billing product business, Prospero, to Intec. It will further
strengthen Intec's leadership in interconnect and mediation as it increases its
market share by adding around 33 telecoms operators in Europe, Asia-Pacific and
Latin-America, including Omnitel, Vodafone, COLT and KPN, bringing the total to
over 270. ICL will henceforth focus on providing consultancy, integration and
professional services, such as training and support, to the telecoms market.
Intec has also entered a global distribution partnership with ICL. Under this
new alliance ICL becomes a strategic Intec partner, able to sell, integrate and
support Intec's range of software products, including its interconnect billing
and mediation products, InterconnecT and Inter-MediatE.
Mike Frayne, Executive Chairman of Intec, said: 'The agreement with ICL will
extend Intec's market leadership in both interconnect billing and mediation. The
acquisition of an additional 33 customers allows Intec to grow its business base
more rapidly, and to increase its revenue stream from support contracts and
additional product sales. Intec will also benefit from a new partnership
agreement with ICL, and the acquisition of reseller agreements in certain key
markets.' He added: 'Intec has always had an aggressive market share strategy,
and this deal is consistent with our ambition to build and maintain market share
leadership in key operational areas for telecoms companies.'
