Resignation of non-executive Directors Thomas Ivarson and Mike Frayne
07 December 2005: Intec Telecom Systems plc announces that it has agreed to
requests from Thomas Ivarson and Mike Frayne to stand down as non-executive
directors of the company, with effect from today, the date of Intec's 2005 full
year results. Mr. Ivarson has asked to stand down to resolve a potential
conflict of interests between his main employer and Intec, and Mr. Frayne to
pursue other business interests.
Mr. Ivarson and Intec were concerned that, going forward, there might be a
conflict of interest between LogicaCMG, where he holds the position of Group
Sales & Marketing Director, and Intec, due to possible competition in the areas
of real time rating and balance management. The Board notes that there remain
substantial opportunities for cooperation in the core business around Intec's
broader product portfolio and LogicaCMG's consultancy business.
"Looking ahead, LogicaCMG and Intec will most likely have both points of
competition as well as areas of cooperation. Given this, it is better for Intec,
LogicaCMG and myself if any potential conflict of interest is prevented before
it occurs," says Thomas Ivarson. "I have sincerely enjoyed my work in the Intec
Board. With the acquisition of Singl.eView Intec now has a significant
opportunity of growth with its broad and competitive product portfolio."
Commenting on his departure, John Hughes, non-Executive Chairman of Intec noted:
"Thomas has made a strong and substantial contribution to Intec during his time
on the Board, for which I would like to express our thanks; additionally I am
most appreciative of the professionalism and pragmatism he has demonstrated in
the recognising the potential for a conflict of interest and taking the
opportunity to avoid this. On behalf of the Board, I extend my thanks to Thomas
and look forward to a continued, mutually beneficial relationship between
LogicaCMG and Intec."
Mike Frayne, who is a co-founder and former Executive Chairman of Intec, has
also asked to step down from his position on the Board. Mr. Frayne said of his
decision: "Having helped steer Intec to its present position, and with the
acquisition of Singl.eView clearly performing well, I feel that now is the time
for me to look to my other business interests. I am proud of what has been
achieved to date and wish the company well as it continues its development."
John Hughes added: "Mike has made a tremendous contribution to Intec over the
years and, on behalf of the Board, I extend my thanks to Mike and wish him well
with his new endeavours."
