                   Share option grant to directors and PDMRs

On 21st July 2006 the following executive directors of Intec Telecom Systems PLC
(the "Company") and other persons discharging managerial responsibility
("PDMRs") for the Company, were granted options entitling them to acquire
ordinary shares of 1 penny in the Company under the Intec Company Share Option
Scheme and the Intec Telecom Systems PLC 2000 Stock Options and Incentive Plan
for United States Employees, as summarised below:

The options will normally vest and become exercisable annually at the rate of
20%, 30%, 50% , subject to continued employment and the satisfaction of
performance conditions (*options in respect of these individuals will vest
annually at the rate of 33%/33%/34% subject only to continued employment).

In respect of the executive directors, the above notifications are made in
accordance with DR 3.1.4R(1)(a) and (b), and in respect of the other PDMRs named
above, in accordance with DR 3.1.4R(1)(a).

No consideration was paid for the grant of the options and the payment of the
aggregate price is due on the exercise of these options.

Intec Telecom Systems PLC was informed by the executive directors of the above
transactions on 21st July 2006.
