Intermediate capital group announces the PUBLICATION OF THE ANNUAL REPORT FOR
THE YEAR TO MARCH 2011

In  accordance with  Listing Rule  9.6.1 R, the  Company has submitted copies of
its  Annual Report   and   Accounts   for  the  year ended 31  March  2011 (the
"Annual Report") to  the  National  Storage  Mechanism.  The  Annual Report will
shortly  be  available  for  inspection  at  www.hemscott.com/nsm.do. A  copy of
the Annual   Report   is   also   available   via   the   Company's  website  at
www.icgplc.com.  Hard  copies of  the Annual  Report, Notice  of AGM and Form of
Proxy will  be posted on or  around 17 June 2011 to  those shareholders who have
elected  to receive  them  in  hard  copy  form.  The Notice of AGM will also be
available via the Company's website at www.icgplc.com on or around 17 June 2011.

The  purpose  of  the  remainder  of  this  announcement  is  to release certain
regulated  information  in  unedited  full  text  to  meet  the  requirements of
the Disclosure  and  Transparency  Rule  6.3.5.  The Annual  Report contains the
following  statements regarding responsibility for  the financial statements and
management  report  included  in  the  Annual  Report  (page  references  in the
following statement are references to pages of the Annual Report):

"In  accordance with the FSA's Disclosure  and Transparency Rules, the Directors
confirm to the best of their knowledge that:

 1. the   financial   statements,  prepared  in  accordance  with  International
    Financial  Reporting Standards,  give a  true and  fair view  of the assets,
    liabilities,  financial position and  profit or loss  of the Company and the
    undertakings included in the consolidation taken as a whole; and



 2. the  management report,  which is  incorporated into  the Directors' report,
    includes  a fair review  of the development  and performance of the business
    and  the  position  of  the  Company  and  the  undertakings included in the
    consolidation taken as a whole, together with a description of the principal
    risks and uncertainties that they face.


The  Directors of  the Company  and their  functions are  listed on pages 58 and
59."

Other  regulated  information  in  the Annual  Report of  a  type  that would be
required to be disseminated in a half-yearly report has already been released in
unedited full text via the announcement of preliminary results made at 7:00 a.m.
on 1 June 2011.
