This is to inform you that, pursuant to the Companies Act 1985 (as amended)
Intermediate Capital Group PLC has been notified that, on 20 November 2000,

(i)  the Trustees of the BT Pension Scheme through its registered holder,       
    BriTel Fund Nominees Ltd, has sold 705,559 shares in the company, giving    
   it a material interest of 3,258,662 ordinary shares of 20 pence, being       
  5.572% of the current issued share capital and

(ii) the Post Office Staff Superannuation Scheme through its registered holder, 
    Possfund Nominees Ltd, had sold 505,719 shares in the Company, giving it a  
   material interest of 2,195,457 ordinary shares of 20 pence, being 3.754%     
  of the current issued share capital.
