Holding in Company

Pursuant to the Companies Act 1985 (as amended) Intermediate Capital Group PLC
has been notified that, with effect from 8 December 2000,

(i)  the Trustees of the BT Pension Scheme through its registered holder, BriTel
Fund Nominees Ltd, no longer has a disclosable interest in the issued share
capital of the company. Its holding prior to this date was 3,258,662 ordinary
shares of 20 pence, being 5.572% of the current issued share capital and

(ii)  the Post Office Staff Superannuation Scheme through its registered holder,
Possfund Nominees Ltd, no longer has a disclosable interest in the issued share
capital of the company. Its holding prior to this date was 2,195,457 ordinary
shares of 20 pence, being 3.754% of the current issued share capital.
