Circular posted to Shareholders of Babcock & Brown Public Partnerships Limited 

(the 'Company')

On 30 March 2009, the Board of the Company announced certain proposals in relation to: (a) the transfer of the Company's investment advisory and management arrangements from the Babcock & Brown Group to the Amber Infrastructure Group; and (b) the change of the Company's name to 'International Public Partnerships Limited'.

The Board is pleased to announce that a circular dated 23 April 2009 relating to those proposals (the 'Circular') has now been posted to Company shareholders. The Circular contains details of the proposals, together with notice of an Extraordinary General Meeting of the Company scheduled for 18 May 2009.

Copies of the Circular have been submitted to the Financial Services Authority and will shortly be available for public inspection at the Document Viewing Facility of the UK Listing Authority, 25 The North Colonnade, Canary Wharf, London, E14 5HS.
