Intertek acquires Epsilon Technical Services Ltd
Intertek Group plc (Intertek), the leading international provider of quality and
safety services to a wide range of industries, announces the acquisition of
Epsilon Technical Services Ltd (Epsilon), a safety testing and advisory services
business for companies with products for use in potentially explosive
atmospheres.
Intertek purchased Epsilon from its founding shareholders Sean Clarke and
Stephen D'Henin for an initial cash consideration of GBP1.8m and a subsequent
cash consideration of up to GBP0.6m, dependent on performance in 2008.
Epsilon provides testing and certification of equipment used in explosive
atmospheres and provides consultancy, training and site assessments to customers
in a wide range of industries that have explosive-atmosphere workplaces under
the EU directives. These include petrochemical plants, refineries, distilleries,
flourmills, woodworking machine plants, paint spraying plants, water industry
operations and petrol forecourts. Epsilon employs 24 staff in the UK, and three
more in the US and Denmark. The business will complement the existing explosive
environment certification services that Intertek provides in these areas and to
these industries through its commercial & electrical and analytical services
businesses. Epsilon will form part of Intertek's Commercial & Electrical
division.
Wolfhart Hauser, Chief Executive Officer of Intertek, commented:
'There is a high and growing demand for testing and certification of equipment
and systems in explosive environments. Many of our clients operate hazardous
environments and we will be able to transfer Epsilon's knowledge and expertise
widely across the Group's customer base. We are pleased to strengthen our
existing services and welcome Epsilon to Intertek'.
