Notification of Transactions of Directors/PDMRs

This notification is made pursuant to DTR 3.1.4(1)(a).

1) On 14 May 2010 Lloyd Pitchford received the following conditional rights to acquire ordinary shares of 1p each in the Company ("Shares") under an agreement made as part of his recruitment as Chief Financial Officer of the Company. The agreement was made under Listing Rule 9.4.2(2).

The Awards shall normally vest on the relevant Normal Vesting Date as noted above, subject to Mr Pitchford's continued employment with the Intertek Group on such date.  In addition, the vesting of Awards A, B, D and G are subject to the satisfaction of objective performance conditions.

No consideration was paid for the grant of the awards.  No price is payable on the vesting of the awards.

2) Also on 14 May 2010, under the terms of the Intertek Deferred Bonus Plan, Lloyd Pitchford was granted a Deferred Share Award over 8,313 Shares and a Matching Share Award over 16,626 Shares.

The Awards shall normally vest three years from the grant date, subject to Mr Pitchford's continued employment with the Intertek Group on such date. The performance conditions that apply to Mr Pitchford's Matching Share Award are identical to those that apply to the Matching Share Awards granted to other Intertek executives in March 2010. The awards were granted on the basis of an average share price of £14.434. More information about the Deferred Bonus Plan can be found in the Annual Report and Accounts for 2009.

No consideration was paid for the grant of the awards.  No price is payable on the vesting of the awards.
