INTERTEK TESTING SERVICES PLC ('ITS')
NOTICE PURSUANT TO SECTION 198 OF THE COMPANIES ACT 1985 (THE 'ACT')
We are writing formally to notify you under Section 198 of the Act of the
changes in the number of shares held. Following the expiry of dealing
restrictions with effect from 3 March 2003, the 748,821 shares in ITS held by
CHEF Nominees Limited are being passed to the underlying beneficial holders, who
comprise certain current and former employees of the Charterhouse Development
Capital group and of its former associated companies.
As a result, the disclosable stake held by Charterhouse Capital Limited, the
ultimate holding company of the Charterhouse Development Capital group, and its
subsidiaries and their managed funds, will be limited to the shares held on
behalf of Charterhouse Capital Partners V and registered as set out below:

This notification is made on behalf of each of (i) CGP, (ii) DCT 360080 and
(iii) DCT 360100. We understand that the issued share capital of ITS comprises
153,479,824 Ordinary shares and, therefore, the aggregate disclosable holding
of CGP, DCT 360080 and DCT 360100 is 12,498,064, representing 8.14% of the
issued share capital.
