Directors' attributable interests in Investec plc and Investec Limited shares
through a leveraged equity plan called Fintique III.

In order to facilitate the completion of the Black Economic Empowerment ('BEE')
transaction, announced on the 15th May 2003, Fintique III BVI Limited acquired
1,403,741 ordinary shares of £0.001 each in Investec plc as at the 1st July 2003.
At the same time, Fintique III disposed of 1,403,741 ordinary shares of ZAR0.001
each in Investec Limited. Details of this transaction may be found in an
announcement relating to major shareholdings in Investec plc issued on the 3rd
July 2003.

As a consequence of Fintique III's exchange of Investec Limited shares for
Investec plc shares, the directors' indirect beneficial interests in Investec plc
shares have increased, while their indirect beneficial interests in Investec
Limited shares have decreased. The increases in the directors' indirect
beneficial interests in Investec plc's shares are laid out in the table below.
