UK: International Quantum Epitaxy PLC (IQE PLC) TERMS OF PLACING.

               TERMS AND CONDITIONS OF SHARE PLACING IN IQE PLC

      INTO THE UNITED STATES, CANADA, AUSTRALIA OR JAPAN.
 
On 15 September, IQE Plc ('IQE' or the 'Company') placed 3,230,000 shares
through the placing of new ordinary shares in the Company (the 'Placing
Shares'). The Placing Shares have been placed with UK tracking index funds.
The Placing Shares were placed at 745 pence. Trading in the Placing Shares
is expected to commence on 22 September.

Proceeds from the Placing Shares will be used to fund joint venture and 
acquisition opportunities in-line with IQE's growth strategy. 

Application has been made for the Placing Shares to be admitted to trading
on the LSE and Easdaq. Admission for the Placing Shares is expected to
become effective on Friday, 22 September.

The Placing Shares are not registered in the United States and may not be
offered or sold in the United Stated except pursuant to an exemption from
the registration requirements of the United States Securities Act of 1933.
