OFFERING OF 1,052,631 SHARES IN THE FORM OF SHARES (THE 
'OFFERING')
PRICE AT £37.81 ON MAY 15th 2000


In connection with the Offering, Lehman Brothers International (Europe) as
stabilising manager may over-allot or effect transactions which stabilise or
maintain the market price of the Shares at a level which might not otherwise
prevail.  Such stabilising transactions, if commenced, may take place from 8.00
am on Friday 19th May 2000 until close of business on Friday 16th June 2000 and
may be discontinued at any time.
