                    PROPOSED UNAPPROVED SHARE OPTION SCHEME

Dart Group PLC's Report and Accounts 2002 will be mailed to the Company's
shareholders today with a Circular relating to the Dart Group PLC 2002
Unapproved Share Option Scheme ('the Scheme'), the establishment of which will
be proposed as ordinary resolution number 6 at the Company's Annual General
Meeting at 9.30 a.m. on 8 August 2002 at 107 Cheapside, London, EC2V 6DT.  A
copy of the Scheme rules will be available for inspection by shareholders at the
UK Listing Authority's Document Viewing Facility, 25 North Colonnade, Canary
Wharf, London, E14 5HS with effect from today until the close of the Annual
General Meeting.
