REPURCHASE OF SHARES IN JOHNSON MATTHEY PLC

Johnson Matthey Plc announces that on 20 August 2001 it purchased for
cancellation 270,000 ordinary shares of Johnson Matthey Plc at an average price
of 1019.26 pence per share. Upon the cancellation of these shares, the number of
shares in issue will be 222,507,754.
