Director Share Transactions and Total Voting Rights

The Company has been notified of the following share transactions carried out by three of its Directors on 3 April 2014.

John Talbot, Executive Chairman, has exercised options under the Company's 2009 Long Term Incentive Plan (the "2009 LTIP") over 5,000,000 ordinary shares of 10 pence each ("Ordinary Shares") and subsequently sold 3,000,000 Ordinary Shares at a price of 55.0 pence per share.  Following this transaction, John Talbot has a beneficial interest in 8,163,000 Ordinary Shares, representing 2.73% of the Company's total issued share capital.

Christopher Sander, Chief Executive Officer, has exercised options under the Company's 2009 LTIP and the 2009 Long Term Incentive Plan Approved Section (the "2009 Approved LTIP") over 1,287,275 Ordinary Shares and 97,560 Ordinary Shares respectively and subsequently sold 1,097,560 Ordinary Shares at 55.0 pence per share.  Following this transaction, Christopher Sander retains a beneficial interest in 525,930 Ordinary Shares, representing 0.18% of the Company's total issued share capital.

Yvonne Monaghan, Chief Financial Officer, has exercised options under the Company's 2009 LTIP and the 2009 Approved LTIP over 1,620,608 Ordinary Shares and 97,560 Ordinary Shares respectively and subsequently sold 1,097,560 Ordinary Shares at 55.0 pence per share.  Following this transaction, Yvonne Monaghan retains a beneficial interest in 764,086 Ordinary Shares, representing 0.26% of the Company's total issued share capital.

Following these transactions, the Company's total share capital comprises 298,566,096 Ordinary Shares of 10 pence each with voting rights.  The above figure of 298,566,096 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FCA's Disclosure and Transparency Rules.
