Sale of treasury shares

The Company has sold from treasury 9,606,918 redeemable participating preference shares of 0.01 pence each designated as equity shares ('Equity Shares'). The Equity Shares were sold for cash at US$1.82 each and rank pari passu with the existing Equity Shares in issue.

As a result of the sale, the Company now holds 10,268,912 Equity Shares and no redeemable non-participating preference shares designated as zero dividend preference shares ('ZDP Shares') in treasury.

The total number of issued share capital and voting rights in the Company (excluding treasury shares) is 283,773,301 Equity Shares and 65,418, 824 ZDP Shares. These figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency rules.
