JPMorgan Emerging Markets Investment Trust plc
Result of EGM and Participation in F&C Emerging Markets recommended scheme
All the resolutions put forward at this morning's extraordinary general meeting
of JPMorgan Emerging Markets Investment Trust plc (the 'Company') to approve the
Company's participation in a recommended scheme of reconstruction of F&C
Emerging Markets Investment Trust plc ('F&C Emerging Markets') were passed by
the Company's shareholders.
The Company's participation is now conditional on approval by F&C Emerging
Markets' shareholders at a meeting at 10.00 a.m. today and at a meeting to take
place on 11 April, and admission of new shares in the Company to the Official
List and to trading on the London Stock Exchange, which is expected to take
place on 12 April 2006.
Elections to rollover into the shares of the Company have been received in
respect of approximately 53 million F&C Emerging Markets shares (including
shares arising on the conversion of F&C Emerging Markets' convertible unsecured
loan stock (the 'CULS')), representing approximately 30 per cent. of its issued
share capital (having taken into account full conversion of the CULS). Using
recently announced net asset values of the two companies, the estimated value
rolling over into the Company would be approximately £74.6 million, an
enlargement of approximately 23 per cent. of the Company which currently has net
assets of approximately £327 million. The calculation date for the purposes of
calculating the actual number of new shares to be issued by the Company is close
of business on Friday 7 April.
The Company's participation in the scheme should result in greater liquidity in
the Company's shares and lower proportionate fixed operating costs and has not
involved any cost attributable to existing shareholders. All the costs of
participation are to be borne by JPMorgan Asset Management, the Company's
manager.
As announced yesterday, a special dividend of 1.50 pence per share will be paid
on 10 May 2006 to shareholders on the register at the close of business on 7
April 2006.
