JPMORGAN OVERSEAS INVESTMENT TRUST PLC

(the "Company")

CONVERSION OF SUBSCRIPTION SHARES

The Board of JPMorgan Overseas Investment Trust plc announces that the Company will issue 91,613 Ordinary shares following the exercise of conversion rights by Subscription shareholders.

Application is being made for the new Ordinary shares to be admitted to the premium segment of the Official List of the UK Listing Authority and to trading on the main market for listed securities of the London Stock Exchange.  Dealings in the new Ordinary shares are expected to commence on 7th November 2014 ('Admission').

Following Admission, the shares in issue following this notification will be 26,549,018 Ordinary shares (including 3,436,144 Ordinary shares held in Treasury), and 4,432,082 Subscription shares.
