            APPOINTMENT OF A NEW DIRECTOR

Following the decision of Mark Fitzalan Howard to
retire from  the Board at the Annual General Meeting
in  October 1999 and in view of the Board's belief
that it is in  the Company's  best  interests to
have one  Director  on  the Board  who is connected
with Flemings, the Directors  are pleased  to
announce that Geoffrey Howe, a  Director  of Robert
Fleming Holdings and General Counsel of  Flemings
has  agreed  to  become a Director of the  Company
after Mark's retirement.

The appointment will take effect from 1 November 1999.
