Results of First General Meeting

The Board of Directors of JZ Capital Partners Limited ('JZCP' or the 'Company') is pleased to announce that the resolution (the 'Resolution') proposed at the first general meeting of the Company at 10.30 a.m. today (the 'First GM') to approve the proposed conversion of all of the Limited Voting Ordinary Shares into Ordinary Shares on the basis that one Limited Voting Ordinary Share would convert into one Ordinary Share was duly passed without amendment by the required majority on a show of hands.
Further details of the Resolution are set out in a circular published by JZCP on 18 May 2012 (the 'Circular'). Unless otherwise stated, defined terms used in this announcement have the same meaning as is given to them in the Circular.
Proxy appointments in relation to the Resolution were received in respect of 27,699,369 Limited Voting Ordinary Shares and 23,970,522 Ordinary Shares. Details of the proxy votes received in relation to the Resolution are as follows:

The Board is also please to announce that the resolution proposed at the separate class meeting of the holders of Limited Voting Ordinary Shares at 10.00 a.m. today was duly passed without amendment by the required majority.
