Keller Group plc announces that on 30 April 2002, Justin Atkinson, a

director of the Company transferred 6,831 ordinary shares to his spouse, Mrs

Gillian Atkinson, for nil consideration.   Mr Atkinson's beneficial interest

in the Company's ordinary shares is unchanged as a result of this

transaction.
