Update on the Migration of Participating Securities  

 

Kerry Group plc ("Kerry" or the "Company") provides the following update in relation to the migration of its Shares as part of the migration of Irish corporate securities from CREST to Euroclear Bank (the "Migration") under the Migration of Participating Securities Act 2019 (the "Migration Act"). 

As previously announced, at the Extraordinary General Meeting of the Company held on 28 January 2021 ("the EGM"), shareholders approved the Migration and authorised the Board to take all steps necessary to implement it.

In accordance with the terms of the Migration Act and these authorities, the Company has consented to the Migration and has made the requisite notifications to the Irish Companies Registration Office and Euronext Dublin. Accordingly, all steps required to be taken by the Company to give effect to the Migration have now been completed.

Shareholders' attention is drawn to the statement published by Euronext Dublin on 8 March 2021, which can be found at the following link: https://www.euronext.com/en/media/4354

This statement is to the effect that  Migration under the Migration Act is scheduled to proceed in accordance with the indicative timetable which was previously communicated by Euronext Dublin to the market, most recently on 17 February 2021. In particular Euronext Dublin has advised that the Live Date on which Migration is to take effect is Monday, 15 March 2021 and further that this date will be formally confirmed by Euronext Dublin as the Live Date for Migration on the evening of Friday, 12 March 2021.

Accordingly, no changes are anticipated in relation to the timetable contained in the Company's circular to shareholders in respect of the Migration dated 22 December 2020 (the "Circular") other than as set out below: -

Latest time and date for Shareholders who hold their Shares in uncertificated (i.e. dematerialised) form to withdraw the relevant Shares from the CREST System and hold them in certificated (i.e. paper) form so as to ensure that such Shares are not subject to Migration

Notes:

(1)  All references to times are to times in Dublin, Ireland.

(2)  If there are any inconsistencies between this announcement and the indicative timetable included in the Circular, this announcement shall prevail.

(3)  If, in exceptional circumstances, the Migration does not proceed as planned and the Live Date is therefore postponed the Company will give notice of that fact by issuing an announcement.

 

The defined terms set out in Part 9 of the Circular have the same meaning when used in this announcement.
