satisfaction of conditional awards made under the Kier Group 1999 Long Term
Incentive Plan:

Miss D E Mattar:      7,800 shares
Mr M P Sheffield:     2,331 shares
Mr R W Side:         12,276 shares
Mr R W Simkin:        6,685 shares
Mr P J Staniland:     2,331 shares - PDMR

Following these transactions their total shareholdings were:
