PDMR participation in the Rights Issue

 

The Company announces that, on 3 June 2015, it was notified that the following acquisitions of ordinary shares of 1p each in the capital of the Company ("Ordinary Shares") were made by certain of its persons discharging managerial responsibilities ("PDMRs") and, where indicated below, their connected persons pursuant to the Company's 5 for 7 rights issue of 39,646,692 new Ordinary Shares at 858 pence per Ordinary Share announced on 28 April 2015 (the "Rights Issue"):

The Company was also notified on 3 June 2015 that the following acquisitions of Ordinary Shares were made by certain of its PDMRs and, where indicated below, their connected persons, as part of the placing of (i) Ordinary Shares not validly taken up in the Rights Issue and (ii) aggregated fractional entitlements to Ordinary Shares under the Rights Issue:

Adjustments to Sharesave Scheme options

 

Certain PDMRs have interests in options over Ordinary Shares under the Kier 2006 Sharesave Scheme.  As contemplated by the Prospectus, adjustments have been made to the terms of these outstanding options to take account of the Rights Issue.  Details of the adjusted options are:
