Total Voting Rights

Further to the announcements earlier today in respect of the Company's rights issue, and in accordance with DTR 5.6.1R of the FCA's Disclosure and Transparency Rules (the "DTRs"), the Company notifies that, as at 3 June 2015, Kier has in issue 95,152,060 ordinary shares of 1 pence each with voting rights. The Company does not hold any ordinary shares in treasury. Therefore, the total number of voting rights in the Company is 95,152,060 ordinary shares.

The above figure (95,152,060) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.
