Kingfisher plc has today announced that Chief Executive Officer Gerry Murphy was
conditionally granted, on 17 April 2003, 187,013 ordinary shares, in the form of
nominal cost options that will normally become exercisable after three years
subject to his continuing employment by the company. This grant may be
increased by up to a maximum of a further 561,039 shares at the end of the three
year period, subject to the achievement of Total Shareholder Return performance
targets.
Also, provided that Dr Murphy invests up to one third of his then salary in
Kingfisher shares by the end of the first quarter of each of the 2004/5 and 2005
/6 financial years, he has been granted the right to receive further conditional
grants of a maximum of three times the number of shares purchased by him in each
year, also in the form of nominal cost options exercisable after three years
subject to his continuing employment by the company and the achievement of Total
Shareholder Return performance targets over the relevant three year period.
Dr Murphy was also granted a share option award on Thursday 17 April 2003 of
1,345,385 shares at an option price of £2.3785 under the rules and performance
conditions of Kingfisher's Executive Share Option Scheme.
These options were granted to Dr Murphy in accordance with the terms of his
employment contract.
Each of Helen Weir, Ian Cheshire and William Whiting were granted share option
awards on 17 April 2003 of 142,947, 134,538 and 163,968 shares respectively.
All of these options were granted at a price of £2.3785.
All the share options awarded to Dr Murphy, Mrs Weir, Mr Cheshire and Mr Whiting
are exercisable between 17 April 2006 and 17 April 2013. Following the grant of
these options, the aggregate options held by the directors concerned were:
Gerry Murphy 1,345,385
Helen Weir 812,504
Ian Cheshire 742,628
William Whiting 931,506
All of the directors notified Kingfisher of these interests on 17 April 2003.
