Result of Court Meeting and Extraordinary General Meeting
9 August 2002
Shareholders approve Scheme of Arrangement
At both the Court convened meeting and the Extraordinary General Meeting which
were held earlier today , the ordinary shareholders of Land Securities PLC
overwhelmingly approved the Scheme of Arrangement without modification and
passed the special resolution required to implement it.
In the poll taken at the Court meeting, the resolution received 245,448,641
votes in favour from 7,773 shareholders and 8,494,340 votes against from 264
shareholders. The resolution was therefore passed with a majority of 96.7% of
both votes and those voting.
Subject to receiving Court approval on 5 September the Scheme of Arrangement
will become effective on 6 September.
Commenting on today's result Ian Henderson, Group Chief Executive, said,
'We are pleased that our shareholders have approved the proposals made by the
Board. We believe that by effecting the Scheme of Arrangement and return of
capital to shareholders Land Securities remains in a strong financial position
but with a more efficient balance sheet and an enhanced ability to generate
shareholder returns'.
