Exercise of options, PDMR dealing and issue of new ordinary shares

Learning Technologies Group plc, provider of services and technologies for digital learning and talent management, announces that on 19 February 2021 an employee exercised and sold 397,500 share options in the company at 175.11 per Ordinary Share.

In addition, Nick Bowyer, Chief Operating Officer and a PDMR, exercised 600,000 share options which were sold at an average price of 172.01 pence per Ordinary Share on 19 February 2021 and transferred 24,311 Ordinary shares to his wife.  They each sold 10,000 Ordinary Shares on 22 February 2021 at 168.77 pence per Ordinary Share.  Following these dealings Nick Bowyer and his wife have a beneficial holding in the Company of 28,623 Ordinary Shares representing approximately 0.003 per cent of the Company's issued share capital.

Pursuant to the exercise of share options the Company confirms that application has been made to the London Stock Exchange for the admission of 997,500 new ordinary shares to trading on AIM. Admission is expected to take place at 8.00am on 26 February 2021.

Following the anticipated admission of these shares, the total number of ordinary shares of 0.375p each in the capital of the Company in issue will be 740,614,910 with each share carrying the right to one vote.

LTG holds 404,340 shares in treasury. The figure of 740,210,570 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
