LMS Capital plc (the "Company")

RESULTS OF GENERAL MEETING - PROPOSED TENDER OFFER

The Company announces that, at the general meeting held today, the resolution proposed in relation to the authorisation of the Company's proposed tender offer of ordinary shares (the "Resolution") was passed as a special resolution.

The voting figures for the Resolution (set out in full in the Notice of General Meeting dated 2 November 2012) were as follows:
