We hereby notify you in accordance with Part VI of the Companies Act 1985 (the 
"Act") that:
     
(a)  as at 11 April 2006, Nightingale Acquisition Limited was interested for the 
     purposes of the Act in 38,100,000 ordinary shares of 55/6 pence each
     comprised in the relevant share capital, as defined in section 198(2) of 
     the Act, of the London Stock Exchange plc (the "Relevant Shares");

(b)  we are or will be (once registration in the register of members of London 
     Stock Exchange plc has taken place) the registered holder of the Relevant
     Shares; and

(c)  none of the Relevant Shares are shares in which we are interested
     by virtue of section 208(5) of the Act.
