                      EXCHANGE'S OFFER TO ACQUIRE PROQUOTE
                             BECOMES UNCONDITIONAL


London Stock Exchange announced that its offer to acquire Proquote Limited
(Proquote) became wholly unconditional on 17 February 2003.  The offer will
remain open for acceptance by Proquote's shareholders until 3.00 p.m. on 11
March 2003.
