London Stock Exchange 3 November 2000 For the attention of the chairman/senior partner/compliance officer, all member firms N60/00 STOCK EXCHANGE NOTICE DOMESTIC EQUITY MARKET SYNGENTA AG ('SYNGENTA') 1. Listing particulars have been filed in relation to the global secondary offering of ordinary shares in Syngenta. Syngenta will be formed through the combination of the de-merged agrochemicals business of AstraZeneca plc and the agribusiness of Novartis AG. Subject to approval by the UK Listing Authority, Syngenta will obtain a secondary listing in London and will be admitted to trading on the London Stock Exchange on 13 November 2000. 2. As a Swiss incorporated company with a primary listing in Zurich, Syngenta would normally be classified as a European equity market security and be quoted on SEAQ International. However, given the expectation of high trading volumes in London during the period immediately following admission, including the anticipated level of UK retail participation, the Exchange has agreed that, on an exceptional basis, Syngenta will be treated as a domestic equity market security and will be traded on SEAQ with effect from 13 November 2000. This will ensure the appropriate level of visibility and accessibility for those member firms wishing to trade this security on the London Stock Exchange. The Exchange will review the ongoing suitability of the quotation on SEAQ after the initial period of trading. 3. In light of its treatment as a domestic equity market security, all trading and reporting obligations, as set out within chapters 4 and 8 of the Rules of the London Stock Exchange, will apply.
