Circular to Shareholders and Notice of Extraordinary General Meeting

Further to the announcement made on 17 January 2006 in connection with a
recommended acquisition of Reg Vardy (the 'Acquisition'), Lookers announces that
on Friday 27 January 2006 it posted to its shareholders a circular setting out
the details of the Acquisition and convening an extraordinary general meeting of
shareholders to approve the Acquisition and its funding (the 'EGM'). The EGM
will be held at 776 Chester Road, Stretford, Manchester, M32 0QH on Tuesday 14
February 2006 at 10.00 a.m.

A copy of the circular has been submitted to the Financial Services Authority
for publication through the document viewing facility which is situated at The
Financial Services Authority, 25 North Colonnade, Canary Wharf, London E14 5HS.

Copies of the circular are available for collection by Lookers shareholders from
the offices of Addleshaw Goddard, 150 Aldersgate Street, London, EC1A 4EJ during
normal business hours on any weekday (Saturdays and public holidays excepted).

A copy of the scheme document containing details of the Scheme has also been
posted to the Company's shareholders for information purposes only.
