As announced in our interim statement Michael Clark is appointed a non-executive 
Director of Macfarlane Group PLC with effect from 1 September 2003.

In accordance with paragraph 16.4 of The Listing Rules the following is 
disclosed:
     • Until 19 September 2001 Michael Clark was an Executive Director of 
       Macfarlane Group, in charge of the Plastics Division but left when the 
       business was sold to Tyco. He has not been a director of any other 
       publicly quoted company in the last 5 years.
     • He was a Director of Amalgamated Plastics Limited which was dissolved in 
       November 2002 following a creditors voluntary liquidation.

Michael Clark currently has a beneficial interest in 1,167,897 ordinary shares 
(1.02%) in Macfarlane Group PLC.
