MAJEDIE INVESTMENTS PLC



The Company has been advised that on 15 March 2002 Safeguard Limited purchased
1,662,593 ordinary 10p shares in the Company (representing 3.15% of the
Company's issued ordinary share capital) at a price of 281.28 pence per share.
Safeguard Limited now hold 10,768,154 ordinary 10p shares in the Company
(representing 20.43% of the Company's issued ordinary share capital).

As a result of this transaction, Henry S Barlow, who is a Director of the
Company, has increased his beneficial holding to 14,555,619 ordinary 10p shares
in the Company (representing 27.61% of the Company's issued ordinary share
capital).

Non-beneficial interests of Henry S Barlow remain at 313,084 which represents
0.59% of the Company's issued ordinary share capital.
