On 23^rd June 2010, the following share awards were made to, or shares were purchased by, directors of Man Group plc.

PETER CLARKE:

Deferred Bonus Awards:

-  259,856 ordinary shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 23^rd June 2013 being the end of the performance period for the linked Matching Shares (mentioned below).

-  Options granted over 2,997,442 ordinary shares under the Man Group 2010 Deferred Bonus Share and Option Plan, exercisable at a price of 280.1799 pence per share (being a 10% premium to current market value) between 23^rd June 2013 and 22^nd June 2020.

Long Term Incentive Awards subject to performance criteria as set out in the respective scheme rules:

-  522,793 ordinary shares including Matching Shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 23^rd June 2014.

-  Options granted over 484,179 ordinary shares under the Man Group Unapproved Executive Share Option Scheme 2001, exercisable at a price of 258.3 pence per share between 23^rd June 2013 and 22^nd June 2020.

Deferred Bonus Awards:

-   Shares acquired and designated as 'bonus investment shares' for the purposes of the linked Matching Shares (mentioned below): 126,998 ordinary shares at a price of 258.2142 pence per share. These shares are restricted until 23^rd June 2013 being the end of the performance period for the linked Matching Shares (mentioned below).

-  Options granted over 749,360 ordinary shares under the Man Group 2010 Deferred Bonus Share and Option Plan, exercisable at a price of 280.1799 pence per share (being a 10% premium to current market value) between 23^rd June 2013 and 22^nd June 2020.

Long Term Incentive Awards subject to performance criteria as set out in the respective scheme rules:

- 400,581 ordinary shares including Matching Shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 23^rd June 2014.

-  Options granted over 327,148 ordinary shares under the Man Group Unapproved Executive Share Option Scheme 2001, exercisable at a price of 258.3 pence per share between 23^rd June 2013 and 22^nd June 2020.
