DISCLOSURE OF INTEREST IN VOTING SHARES
Marks and Spencer Plc was notified today by Brandes Investment Partners, L.P.
('Brandes') that at close of business on 14 September 2000:
(i) Brandes was interested in 124,165,830 ordinary shares and 19,700,349
American Depository Receipts in Marks and Spencer Plc, which together
represent the equivalent of 242,367,924 ordinary shares - approximately
8.4% of the issued share capital of the Company.
(ii) The registered holders of these shares are approximately 490 custodian
banks unaffiliated with Brandes.
(iii) None of the shares are shares in which Brandes is interested by virtue of
Section 208(5) of the Act.
Notification is being made to you under Section 9.11 of the Listing Rules.
