Please be advised that the Board of Directors of Marsh & McLennan Companies,
Inc. (the 'Company') today declared its quarterly dividend on the Company's
common stock of fifty-three cents ($.53) per share, payable August 15, 2001 to
stockholders of record on July 9, 2001.

In addition, effective today, four directors, Lewis W. Bernard, Mathis
Cabiallavetta, Robert F, Erburu and Ray J. Groves were elected by the
stockholders as Class I directors. Each of the Class I directors will serve for
a three year term. The following persons were elected to serve as officers of
