Re: Quarterly Dividend Announcement 

Please be advised that the board of directors of Marsh & McLennan Companies, 
Inc. today declared a quarterly dividend on the company's common stock of 
thirty-one cents ($.31) per share, payable May 14, 2004 to stockholders of 
record on April 8, 2004.

In addition, the board approved the addition of Zachary W. Carter to the slate 
of nominees for the board of directors of MMC. MMC stockholders will be asked 
to elect Mr. Carter to the board at the company's annual meeting on 
May 20, 2004.
