TO:  COMPANY ANNOUNCEMENTS OFFICE

Please be advised that at a meeting of the Board of Directors of Marsh &
McLennan Companies, Inc. (the 'Company') held Thursday, May 18, 2000 the Board
of Directors declared a quarterly dividend on the Company's common stock of
fifty cents ($.50) per share, payable August 15, 2000 to stockholders of record
on July 10, 2000.

In addition, effective May 18, 2000, six directors, Peter Coster, Charles A.
Davis, Gwendolyn S. King, Lawrence J. Lasser, David A. Olsen and John T. Sinnott
were elected by the stockholders as Class III directors and one director, Mathis
Cabiallavetta was elected by the stockholders as a Class I director.  Each of
the Class III directors will serve for a three year term.  The Class I director
will serve for a one year term.  The following persons were elected to serve as
