Mears Group PLC received notification on 5 September 2001 that The Bayard
Fund, The Bayard Fund (Euro) and The Bayard Investment Partnership LP have an
interest in 1,700,000 ordinary shares of 1p each in the Company's issued
ordinary share capital, representing 3.16 per cent. of the total issued
ordinary share capital of the Company.
