Re: Brochure of Particulars

The Company has issued 850,000 shares following the recent exercise of
Employee Share Options pursuant to the share warrant agreement of 1996. The
exercise price was IR 10p (Euros 0.1269738).

Application has been made to have the shares admitted to listing on the Irish
Stock Exchange and on the London Stock Exchange.

Application has also been made to the Financial Services Authority - the UK
Listing Authority for admission of the shares to the Official List.
