      Acquisition of Panda Anti-Virus Software Limited

Voyager  is pleased to announce that it has agreed terms  to
acquire Panda Anti-Virus Software Limited ('PAS').

PAS  markets and distributes 'Panda' anti-virus software and
other  anti-virus  products.  PAS  was  formed  in  1999  by
Stephen Edwards, who has 12 years experience within  the  PC
maintenance and software market.  'Panda' software has  over
two  million  users worldwide, and has recently  received  a
significant order for anti-virus software from Laura  Ashley
Group.   Other  clients of PAS include  the  British  Dental
Association,  Banco  Espirito Santo, British  Wool,  Wrexham
Health  Trust, and Penlow East Health Trust.   PAS  reported
profit  before  tax  in  excess of £20,000  on  turnover  of
£206,347  for the first six months of it's current financial
year, and with net assets of £164,389.

Voyager  took  a  24%  interest in PAS  in  April  2000  for
£150,000 cash.  The total consideration to acquire  100%  of
PAS  is to be satisfied by 8,000,000 new ordinary shares  in
Voyager  at an issue price of 15p per share.  It is intended
that  Mr  Stephen Edwards, founder and Managing Director  of
PAS,  will  be appointed to the Board of Voyager to  oversee
it's UK operations.
